3. Project Requirements
Before starting a project, clients are responsible for providing accurate and complete project requirements, content, credentials, assets, specifications, and other information reasonably required to perform the services.
Delays caused by missing, incorrect, or delayed information from the client may affect the project timeline.
Any changes to the original project requirements may be treated as additional work and may result in additional charges and/or changes to the agreed delivery schedule.
4. Quotations and Pricing
Project pricing will be based on the scope of work agreed upon with the client.
Unless specifically stated otherwise:
- Quotations are based on the requirements known at the time the quotation is issued.
- Additional features or changes outside the agreed scope may incur additional charges.
- Third-party services, licenses, subscriptions, hosting, domains, plugins, themes, APIs, software licenses, and other external costs may be charged separately.
- A quotation may have a validity period specified in the quotation.

5. Payment Terms
Payment terms will be communicated and agreed upon before or during the commencement of a project.
Depending on the project, payment may be required through:
- Advance payment
- Milestone-based payments
- Hourly billing
- Monthly engagement
- Fixed-price project payments
- Other payment arrangements agreed in writing
Work may be paused if an agreed payment is overdue.
Orbitwebtech reserves the right to withhold delivery, deployment, access, source code, or other project deliverables until outstanding payments have been received, where permitted by the applicable agreement and law.

However, project timelines may be affected by:
- Changes in requirements
- Delayed feedback or approvals
- Delayed payments
- Missing content or credentials
- Third-party services or APIs
- Hosting or server issues
- Technical limitations
- Unforeseen development issues
- Circumstances beyond our reasonable control
Estimated delivery dates are therefore subject to the availability of required information, approvals, resources, and third-party services.

The client represents that they have the necessary rights, licenses, and permissions to provide any content, images, software, trademarks, or other materials supplied to Orbitwebtech.
8. Changes and Revisions
The number of revisions included in a project will depend on the agreed scope of work.
Requests that materially change the approved design, functionality, technical requirements, or project scope may be considered additional work.
Additional work may require:
- Additional fees
- Additional development time
- A revised project timeline
- A new quotation or written approval
We may request written confirmation before beginning substantial additional work.
9. Third-Party Services and Integrations
Our services may involve third-party platforms, services, APIs, plugins, themes, hosting providers, payment gateways, software, or other external technologies.
Orbitwebtech does not control third-party services and cannot guarantee their continued availability, functionality, pricing, policies, compatibility, or security.
Changes, outages, restrictions, API changes, discontinued services, or failures of third-party systems may affect the functionality or performance of a project.
Any third-party fees are generally the responsibility of the client unless otherwise agreed in writing.
10. Website Maintenance and Support
Where maintenance or support services are provided, the scope of support will depend on the applicable service agreement or package.
Maintenance services may include updates, bug fixes, security-related tasks, performance improvements, troubleshooting, backups, or other agreed services.
Unless specifically agreed, maintenance does not automatically include the development of new features or major changes to an existing system.
11. Intellectual Property
Unless otherwise agreed in writing, Orbitwebtech retains ownership of its pre-existing:
- Code libraries
- Development frameworks
- Tools
- Templates
- Components
- Scripts
- Processes
- Methods
- Know-how
- Reusable code and development resources
Upon receipt of full payment, ownership or usage rights for the specific custom deliverables created for the client will be transferred or licensed according to the applicable project agreement.
Third-party software, plugins, themes, frameworks, libraries, fonts, images, and other third-party materials remain subject to their respective licenses and terms.
12. Client Content and Intellectual Property
The client retains ownership of content, trademarks, logos, images, documents, data, and other materials supplied by the client, subject to any applicable third-party rights.
The client grants Orbitwebtech permission to use such materials solely to the extent reasonably necessary to provide the agreed services.
The client is responsible for ensuring that materials supplied to us do not infringe the intellectual property, privacy, or other rights of any third party.
13. Confidentiality
We understand that clients may provide confidential business or technical information during a project.
We will take reasonable measures to protect confidential information and will use such information only for purposes reasonably related to providing our services, except where disclosure is required by law or otherwise permitted by the applicable agreement.
Where a separate Non-Disclosure Agreement (NDA) has been executed, the terms of that NDA will apply to confidential information covered by the agreement.
14. Security
We take reasonable measures to develop and maintain secure websites and applications.
However, no website, software application, hosting environment, network, or internet transmission can be guaranteed to be completely secure.
Clients are responsible for maintaining appropriate security practices for their accounts, credentials, hosting, servers, third-party services, and systems unless those responsibilities have specifically been assigned to Orbitwebtech under a separate agreement.
15. Backups
Unless backup services are specifically included in the agreed scope of work, clients are responsible for maintaining appropriate backups of their website, database, files, and other important information.
Where we provide backup services, we will make reasonable efforts to perform backups according to the agreed service arrangement, but backups should not be considered an absolute guarantee against data loss.
16. Website Content and Information
We make reasonable efforts to keep information on our website accurate and up to date.
However, website content may contain errors, omissions, outdated information, or inaccuracies. We reserve the right to modify website content, services, pricing, or other information at any time without prior notice.
17. Portfolio and Marketing
Unless otherwise agreed in writing, Orbitwebtech may display completed projects, company names, screenshots, or general descriptions of completed work in its portfolio, case studies, website, presentations, or marketing materials.
Clients may request that specific confidential projects or information not be publicly displayed, subject to written agreement.
18. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the website and its content are provided on an “as available” basis.
We do not guarantee that:
- The website will always be available or uninterrupted.
- The website will be completely error-free.
- All third-party integrations will remain available.
- A website or application will be completely free from security vulnerabilities.
- A project will achieve a particular commercial, financial, search engine, traffic, or business result unless expressly guaranteed in a separate written agreement.
Any warranties specifically agreed upon in a written project agreement will take precedence over this section to the extent of any conflict.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Orbitwebtech shall not be liable for indirect, incidental, special, consequential, or loss-related damages arising from the use of our website or services, including loss of profits, revenue, business opportunities, data, or goodwill.
Our total liability relating to a particular project or service will, to the extent permitted by applicable law, be limited to the amount actually paid by the client for the specific service giving rise to the claim.
Nothing in these Terms & Conditions is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
20. Cancellation and Termination
Either party may terminate a project or service arrangement according to the terms of the applicable agreement.
If a client cancels a project after work has started, the client may be responsible for payment for work already completed, approved expenses, third-party costs, and other non-refundable amounts agreed upon.
We may suspend or terminate services if:
- Payments remain overdue.
- The client materially breaches the agreed terms.
- Required information or access is not provided within a reasonable period.
- The project involves unlawful or prohibited activities.
- Continuing the project would create a significant security, legal, or operational risk.
21. Refunds
Refund eligibility will depend on the nature of the service and the terms agreed with the client.
Because many of our services involve customized development and time-based professional work, payments for completed work, approved milestones, third-party licenses, subscriptions, or other non-refundable costs may not be refundable.
Any specific refund terms agreed in writing for a particular project will take precedence.
22. Search Engine Optimization and Business Results
Where SEO, digital marketing, or related services are provided, Orbitwebtech does not guarantee specific search engine rankings, traffic levels, leads, sales, revenue, or other business outcomes unless expressly agreed in writing.
Search engine algorithms, advertising platforms, market conditions, competition, and third-party policies are outside our control.
23. Links to Third-Party Websites
Our website may contain links to third-party websites or services.
These links are provided for convenience and do not necessarily constitute an endorsement.
We are not responsible for the content, security, availability, privacy practices, or terms of third-party websites.
24. Force Majeure
We will not be responsible for delays or failure to perform obligations caused by circumstances beyond our reasonable control, including natural disasters, fire, flood, war, terrorism, government action, internet or infrastructure failures, widespread technical outages, labor disputes, cyber incidents, third-party service failures, or other similar events.
25. Changes to These Terms
We may update or modify these Terms & Conditions from time to time.
Any updated version will be published on this page with a revised “Last Updated” date.
Your continued use of our website or services after changes are published constitutes acceptance of the updated Terms & Conditions to the extent permitted by applicable law.
